FIRM PROFILE THE LAW FIRM Jude & Sheila Associates Advocates is a law firm based in Nairobi in the Republic of Kenya and came into being in early 2015. The law firm is a middle sized, dynamic and fast growing legal provider with a number of competent staff of two advocates (being the partners); one receptionist, an intern and one clerk who doubles up as a messenger. We are conveniently located at 5 th Avenue Office Suites, 3 rd Floor, Room 3 -4, 5 th Ngong Avenue in Upper Hill just a few minutes walk from the Lands Registry and Milimani Law Courts enabling easy access to them thus consequently resulting in constant service delivery. The firm’s Advocates comprise of brilliant minds within the Kenyan legal fraternity. Our Advocates bring on broad incisive and extensive legal expertise and skills, which they gathered from their previous positions as legal practitioners within the Republic. The firm provides comprehensive legal services to its clients and we endeavor to provide a service which is thorough, mindful of costs involved and has an understanding of the commercial considerations at stake. PARTNER NORBERT JUDE ONYANGO Mr. Jude Onyango is a partner of Jude & Sheila Associates Advocates. He is a graduate of Uganda Christian University (LL. B Hons) and holds a Diploma from the Kenya School of Law. He is an Advocate of the High Court of Kenya and also an Associate with the Chartered Institute of Arbitrators in both Kenya & the United Kingdom. OUR TEAM Front Office Assistant Registry & Document Processing We have a professional receptionist who has considerable experience in handling clients, filing, diarizing, and general secretarial work. We have a filing clerk who is also a messenger and is in charge of the firm's registry and document filing generally. He deals with the daily dispatch and postage of the firm's correspondence. Intern We currently have a lady intern. We have made it a practice to ensure throughout the year we offer this opportunity to various graduates and law students.

LEGAL AID AND SOCIAL RESPONSIBILITY We are actively involved in making positive and charitable contributions to the communities in which we operate through the provision of pro-bono legal work and donations. Engaging in pro-bono work is rewarding for both our communities and our staff. Those who engage in these activities are often exposed to experiences and areas of law, procedures and clients that are not always accessible in regular day-to-day work. This work can make a significant difference for clients with a genuine inability to pay and who represent a worthwhile cause, while enhancing the professional development and personal job satisfaction of the volunteer. For the financial year ending December 2014 the partner, Jude Onyango participated in the Legal Aid week organized by the Law Society of Kenya. We work towards building strong stakeholder relationships with the non-profit sector such as a non-governmental organization known as Jisaidie Development Network, in order to source deserving pro bono work. In the near future, we intend to host seminars and workshops relating to pro bono work.

OUR SERVICES 1. Legal Advisory Services and Commercial Law related Transactions It is our view that effective decision- making in business must be supported by the best possible advice and information. In this regard we advice on Company formation, reorganization, mergers, take over , winding up, reconstruction, floatation of shares, investment decisions, International trade law, debt restructuring and re-scheduling, credit management, Legal endorsement of all documents including contracts prepared to be signed among others. Our goal is to give a detailed, structured and authoritative brief as would be required by the client. We also believe that legal services should support business and never should operate or be seen to be bureaucracy. 2. Litigation Our position is that the cost and time expended must be justifiable in terms of results. Thus upon obtaining instructions from our client, we review the same and advice our client prior to filing any case in court so as to enable our client make an informed decision. Only when litigation is likely to bear the desired results we do advice our clients to go ahead. In cases we are to defend , we immediately upon receipt of instructions enter appearance and file a holding defence as we await full instructions from the Client. This is necessary to avoid ex-parte judgement being entered against our client.

OUR SERVICES Urgent matters are dealt with the utmost speed as the circumstances demand. Where possible , we try to avoid litigation since it takes lots of time and in some instances break relationships. With matters in court, we always pursue out of court settlement where possible. However, we are guided all the time by our client’s interest and approval. 3. Property Law and Conveyancing We have a conveyancing department, which handles the assignments we receive from our clients. We have acquired requisite expertise in this field. We have been involved in conveyances in all land regimes in Kenya and are quite comfortable handling any land transactions which include sale and purchase of land, charges, discharge of charge, mortgages, sub-divisions, transfers, chattels and transmissions and other related matters. We believe in timeous transactions to facilitate the economic need that necessitates land transactions. We have a long standing relationships with our clients as far as perfection of securities is concerned. 4. Intellectual Property We have had exposure in intellectual property including Registration of trademarks, patents and copyrights.

OUR SERVICES 5. General Consultancy All our advocates have exposure in commercial work, human rights advocacy and international law consultancy. With the background , we offer a wide range pf general consultancy in the form of legal feasibility, studies specialized opinions and interdisciplinary advice. We have joined hands with various consultants who shall assist our clients in various issues. Please note our departments range from accounting and tax, auditing, financial management and business plans and human resource. 6. Organizational Management & Company Secretarial We are available for consultation by clients on short notice. We have got an in-house Certified Public Secretary who is on standby to advise on aspects of Company Management and Secretarial Practice.

TURN AROUND Our Firm’s policy is “ legal supports business”. We appreciate that any assignment handed over to us by a client is meant to facilitate , support , enhance or secure the Client’s core Business. Bearing this in mind, we strive to procure the expected results of the assignment within the shortest time possible. In conveyance matters, we aim at completing assignments within 10 working days. For agreements and contracts, we keep to deadlines. In litigation, we move as fast as the Court’s diary can allow.

FEE POLICY Disbursements On disbursements, which include the court filing fees, services of summons, stamp duty, registration of documents fees, postage and other outgoings, we call for a deposit on account bearing in mind the projected costs. We strive to keep them to the absolute minimum and are always supported by receipts. At the conclusion of an assignment , we take accounts and settle the figures. Professional fees The fee payable are ordinarily determined by the Advocates (Remuneration Amendment) Order of 2014 which sets out the various scales. Upon receiving instructions in litigation, we call for a deposit of about 30% of the projected costs, in the course of the matter we call for 30% and the final 40% upon conclusion of a matter. Other matters aside from litigation , upon receiving instructions, we call for a deposit of about 60% of the projected costs and call for settlement of the balance of our fees thereafter. Depending on the volumes of work from particular client, we are able to structure fee payment. Please note that we are open to negotiation.

PROFESSIONAL INDEMNITY COVER We carry a professional indemnity cover of Kenya Shillings Fifty Million (Kshs. 50, 000/=) with Heritage Insurance Company Limited.
